IMPORTANT: PLEASE READ THESE TERMS BEFORE PURCHASING CLIPMAP.
These Terms of Service (“Terms”) govern your purchase of ClipMap (the “Software”) through sparks.audio (the “Website”). They form a legal agreement between you (“you” or “Customer”) and Sparks Audio AB, a company incorporated in Sweden, registration number 559450-1628, registered address Brännkyrkagatan 103, 117 26 Stockholm, Sweden (“Sparks Audio”, “we”, “us”, or “our”).
By placing an order, you agree to these Terms. If you do not agree, do not place an order.
These Terms are supplemented by our End User License Agreement (“EULA”), which governs your use of the Software after purchase, and our Privacy Policy. If you are a consumer in the EU/EEA, nothing in these Terms affects your mandatory statutory rights, including under konsumentköplagen (SFS 2022:260) and Directive (EU) 2019/770. Any term less favourable to you than your mandatory statutory rights is, to that extent, without effect.
1. Definitions
“Software” means the ClipMap desktop application delivered with your purchase, and any Updates provided during the Update Period.
“License” means the perpetual, non-exclusive right to use the Software, as set out in the EULA.
“License Key” means the unique activation code provided on purchase.
“Update Period” means the twelve (12) month period following your date of purchase.
“Consumer” means a natural person acting wholly or mainly outside their trade, business, craft, or profession.
2. Pre-contractual information
In accordance with the Swedish Distance Contracts Act (lag (2005:59)) and Directive 2011/83/EU, the following is provided before you order.
2.1 Main characteristics
ClipMap is a desktop application for Windows and macOS that reads Avid Pro Tools® .ptx session files in read-only mode and displays them as an interactive, playable timeline. It does not modify, write to, or delete your original .ptx files. ClipMap also includes an optional “Spot to Pro Tools” feature that, when you use it, sends clip and timecode information into a running, separately licensed copy of Avid Pro Tools on the same computer (EULA Section 4.6). Because the .ptx format can vary between Pro Tools versions, some advanced features may not be fully supported; compatibility is assessed against the Pro Tools and .ptx versions available when your version is supplied, and known limitations are in the release notes and EULA Section 4.
2.2 Functionality and interoperability
ClipMap requires an internet connection to activate your License and performs periodic online license checks. If the Software cannot validate within the offline grace period (Section 6), some functionality may be suspended until it re-validates. Minimum system requirements are published on the product page and incorporated by reference.
2.3 Seller and provider identity
Merchant of record. Your purchase is sold through Stripe acting as our merchant of record. Stripe processes the payment and is responsible for charging, collecting, and remitting applicable VAT and other taxes, and for issuing your receipt and invoice. On your statement the charge appears as “LINK.COM*” followed by our descriptor.
Provider and licensor. ClipMap is developed, licensed, and supported by Sparks Audio AB (registration number 559450-1628, Brännkyrkagatan 103, 117 26 Stockholm, Sweden; support@sparks.audio; https://sparks.audio). Sparks Audio grants your License under the EULA and provides the Software, updates, and support. Your statutory consumer rights may be exercised against the merchant of record and/or Sparks Audio; contact support@sparks.audio and we will help coordinate.
2.4 Price
The price is shown on the product page and again at checkout. As merchant of record, Stripe calculates, collects, and remits any applicable VAT, sales tax, or GST based on your location and status; any applicable tax is shown separately and added to the price before you confirm, and the total payable is displayed before you are bound. Business customers who provide a valid VAT identification number may be subject to a reverse charge where supported.
2.5 Complaints
For a complaint about the Software or your purchase, contact support@sparks.audio. We aim to acknowledge within five (5) business days. If we cannot resolve it, you may refer it to ARN (Section 12).
3. Purchase terms
3.1 License type, machines, and price
ClipMap is sold as a perpetual license for a one-time payment; it is not a subscription. Your purchase is a single-user license that you may install and activate on up to two (2) computers you own or control, for use on one (1) computer at a time. Full licence terms are in the EULA (Section 2). The applicable price (including any launch pricing) and the total payable, including any applicable tax, are shown at checkout before you confirm. Prices are in US Dollars unless stated otherwise; if you pay in another currency, your provider’s exchange rate and fees apply. A price increase posted after you order does not apply to that order.
3.2 Merchant of record and payment processing
Your purchase is made through Stripe acting as our merchant of record (Stripe Payments Europe, Ltd. and its affiliates, including Link). This means:
(a) Stripe is the seller of record and processes your payment; (b) Stripe calculates, collects, and remits applicable VAT, sales tax, or GST, and issues your receipt and invoice; (c) your payment details are entered directly into Stripe’s PCI DSS-certified systems, and we never receive or store your full card number; (d) you may be asked to accept Stripe’s buyer terms at checkout, and you can manage receipts and payment methods at link.com; (e) Sparks Audio remains the developer and licensor of ClipMap and provides the Software, updates, and support.
Stripe’s processing of your personal data is governed by the Stripe Privacy Policy.
3.3 Order process
(a) Select ClipMap and proceed to checkout; (b) review your order, including the total payable and any applicable tax; (c) accept these Terms, the EULA, and the Privacy Policy — and, where it applies, give the express consent to immediate supply described in Section 4.2 — by ticking the acceptance box at checkout; (d) enter payment details and confirm; (e) receive an order confirmation email with your License Key, download instructions, and these Terms.
3.4 Formation of the contract
The contract is formed when we send the order confirmation email containing your License Key. The language of the contract is English.
4. Right of withdrawal (EU/EEA consumers)
4.1 Your 14-day right
If you are a Consumer in the EU/EEA, you normally have the right to withdraw within fourteen (14) days of the conclusion of the contract, without giving a reason, under the Distance Contracts Act and Directive 2011/83/EU.
4.2 Loss of the right for digital content (Article 16(m))
ClipMap is digital content not supplied on a tangible medium. Your right of withdrawal is lost only once all of the following have occurred:
(a) you gave express prior consent, by ticking the unticked-by-default acceptance box at checkout, to ClipMap being supplied (downloaded/activated) immediately, before the end of the 14-day withdrawal period; (b) by that same acceptance you acknowledged that you thereby lose your right of withdrawal once supply begins; and (c) we provided confirmation of that consent and acknowledgment on a durable medium (your order confirmation email).
If any condition is not met, your 14-day right continues to apply.
4.3 How to withdraw
Where the right still applies, withdraw by an unambiguous statement to support@sparks.audio within 14 days of contract formation. You may use the model form in Annex A but do not have to. On valid withdrawal we refund the full amount, using the same payment method, within fourteen (14) days, and your License Key is deactivated. If we failed to inform you of your right of withdrawal, that right is extended by up to twelve (12) months in accordance with applicable law.
5. Refunds
5.1 Statutory refunds
If you validly withdraw under Section 4, or you are entitled to terminate for lack of conformity under Section 8, you receive a refund as provided there.
5.2 Processing and chargebacks
Because Stripe is the merchant of record, refunds are processed by Stripe to your original payment method, and you may also request a refund through Stripe/Link support; please allow up to ten (10) business days. For any product or licence problem, contact us first at support@sparks.audio so we can resolve it directly, ideally before initiating a chargeback.
6. Delivery, activation, and the online license check
6.1 Delivery
The Software is delivered electronically. Your order confirmation email contains your License Key and a download link, issued automatically and normally immediately after successful payment. If you have not received confirmation within one (1) hour, check your spam folder and contact support@sparks.audio. You may re-download from sparks.audio/account.
6.2 Activation and periodic validation
ClipMap requires an internet connection to activate your License and to perform periodic online license checks. After a successful check, the Software operates for a limited offline grace period; if it cannot re-validate before that period ends, some functionality may be suspended until validation succeeds. Each License may be activated on up to two (2) computers and used on one (1) computer at a time, as described in the EULA. The data involved is described in our Privacy Policy.
6.3 Existing beta license keys
If you already hold a ClipMap beta (open-beta / Early Access) License Key, you keep that same key when you purchase. On successful payment we upgrade your existing License in place: your License Key stays the same and becomes your full License. You do not receive a new key and you do not need to reactivate. Your order confirmation email confirms that your existing key is now a full License.
7. Support and updates
7.1 Update Period. Your purchase includes Updates for twelve (12) months from purchase: security patches and critical fixes, .ptx compatibility improvements, and minor feature additions.
7.2 Security updates. We will provide the updates necessary to keep the Software in conformity for the period a Consumer may reasonably expect, and at least the conformity period in Section 8, in accordance with Directive (EU) 2019/770 and konsumentköplagen.
7.3 After the Update Period. Your License remains perpetual and you may keep using the last version received. We may offer an optional paid update plan, and any major version upgrade may be offered at an upgrade price.
7.4 Support. Support is by email at support@sparks.audio (installation, activation, and functionality). We aim to respond within five (5) business days.
8. Conformity and consumer warranty
For Consumers in the EU/EEA
8.1 Conformity. We warrant that the Software conforms to its description in these Terms, on the product page, and in the EULA, and has the qualities and performance normal for software of this type, in accordance with Directive (EU) 2019/770 and konsumentköplagen (SFS 2022:260).
8.2 Conformity period. For this one-time supply of digital content, we are liable for any lack of conformity that becomes apparent within one (1) year of delivery. This does not limit any longer period under mandatory Swedish law.
8.3 Burden of proof. For lack of conformity apparent within the first twelve (12) months after delivery, it is presumed to have existed at supply unless we prove otherwise.
8.4 Remedies. If the Software does not conform, you are entitled, in order, to have it brought into conformity free of charge within a reasonable time; to a proportionate price reduction; or to terminate and receive a refund, unless the lack of conformity is minor.
8.5 Notifying us and statutory rights. Tell us about any lack of conformity at support@sparks.audio. Nothing in this Section reduces your mandatory rights under Swedish consumer law; any less-favourable term is, to that extent, without effect.
For business customers and non-EU/EEA consumers
8.6 “As is”. To the maximum extent permitted by law, for business customers and consumers outside the EU/EEA the Software is provided by us and our licensors “AS IS” and “AS AVAILABLE”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant it will be uninterrupted or error-free.
9. Acceptable use
You may use the Software for any lawful purpose, personal or commercial, in accordance with the EULA. You must not (a) circumvent License Key activation or the online license check; (b) share, publish, or resell your License Key; (c) use the Software to build a competing product; or (d) use automated tools to disrupt the Website. Misuse may lead to termination of your License under the EULA.
10. Intellectual property
The Software, the Website, and all related intellectual property rights are owned by Sparks Audio or its licensors. These Terms grant you a License to use the Software; they do not transfer ownership.
The optional “Spot to Pro Tools” feature is built using the Avid Pro Tools Scripting SDK under a limited licence from Avid (EULA Section 4.6). “Pro Tools” and “.ptx” are trademarks of Avid Technology, Inc. ClipMap is not affiliated with, endorsed by, or connected to Avid; trademark references describe file-format and workflow compatibility only.
11. Limitation of liability
11.1 EU/EEA consumers
To the maximum extent permitted by law: (a) we are liable without limitation for intentional misconduct or gross negligence and for death or personal injury caused by our negligence; (b) for other damage, our total liability shall not exceed the amount you paid for the Software; (c) we are not liable for loss of data you could have avoided by reasonable backups; and (d) nothing excludes liability that cannot be excluded under applicable law, including under konsumentköplagen.
11.2 Business customers and non-EU/EEA consumers
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, and our total aggregate liability shall not exceed the amount you paid for the Software.
12. Governing law and dispute resolution
12.1 These Terms are governed by the laws of Sweden, without regard to conflict-of-laws rules.
12.2 If you are a Consumer habitually resident in the EU/EEA, you also benefit from any mandatory provisions of the consumer law of your country of residence that give greater protection (Article 6 of Regulation (EC) No 593/2008, Rome I).
12.3 Disputes shall be submitted to the competent courts of Sweden. If you are a Consumer, you may also bring proceedings in the courts of your country of residence.
12.4 If you are a Consumer in the EU/EEA, you may refer a dispute to Allmänna reklamationsnämnden (ARN), Box 174, 101 23 Stockholm, Sweden; https://www.arn.se/. ARN provides a free procedure; its decisions are recommendations, which we will give serious consideration. (The EU Online Dispute Resolution platform was discontinued on 20 July 2025.) Our email for complaints is support@sparks.audio.
13. Age requirements
You must be at least eighteen (18) to purchase the Software. If you are between sixteen (16) and eighteen (18), you may purchase only with the consent of a parent or legal guardian.
14. Changes to these Terms
We may update these Terms to reflect changes in law or our business. We will notify you of material changes at least thirty (30) days before they take effect, by email or through the Website. Changes do not apply retroactively to purchases already made, and for Consumers will not reduce protection below the mandatory legal minimum.
